1. Introduction

Welcome to Invstify. These Terms of Service ("Terms") govern your access to and use of the Invstify website, Chrome extension, and related services (collectively, the "Service") operated by Invstify ("we," "us," or "our").

Invstify provides AI-powered analysis of SEC filings to help retail investors make more informed decisions. Our Service includes a Chrome browser extension that displays financial health indicators on SEC.gov, as well as a web application for managing your research.

2. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of Service

Invstify provides the following services:

• Chrome Extension: A browser extension that displays financial health scores and key metrics directly on SEC.gov while you browse company filings.
• AI Analysis: Artificial intelligence-powered summaries and insights derived from SEC filings, including 10-K, 10-Q, 8-K, and other public documents.
• Watchlist: Tools to track and monitor companies of interest.
• Dashboard: A web application for viewing your analysis history and managing your watchlist.

Our analysis is based on publicly available data from the SEC's EDGAR database. We do not guarantee the accuracy, completeness, or timeliness of this information.

4. User Accounts

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be fraudulent.

5. Subscriptions and Payments

5.1 Free and Pro Plans

Invstify offers both free and paid subscription plans. The Free plan provides limited access to our features, while the Pro plan offers unlimited access and additional features as described on our pricing page.

5.2 Billing

Pro subscriptions are billed on a recurring basis (monthly or annually, depending on your selection). By subscribing, you authorize us to charge your payment method on each billing date until you cancel.

5.3 Cancellation

You may cancel your Pro subscription at any time through your account settings. Upon cancellation, you will retain access to Pro features until the end of your current billing period, after which your account will be downgraded to the Free plan.

5.4 Refunds

If you are not satisfied with your Pro subscription, you may request a full refund within 14 days of your initial payment. Refund requests should be sent to hello@invstify.com.

6. Intellectual Property

The Service and its original content (excluding content provided by users or sourced from the SEC), features, and functionality are and will remain the exclusive property of Invstify and its licensors.

The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

SEC filings and related data sourced from EDGAR remain in the public domain as provided by the U.S. Securities and Exchange Commission.

7. User Conduct

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Engage in any form of market manipulation or securities fraud
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) to access the Service without permission
• Resell, redistribute, or sublicense the Service without authorization
• Remove or alter any proprietary notices or labels

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including removing content, suspending accounts, and reporting to law enforcement.

8. Disclaimers

8.1 AI Analysis Limitations

Invstify uses artificial intelligence to analyze SEC filings and generate insights. You acknowledge and agree that:

• AI-generated content may contain errors: Our AI systems process large amounts of financial data and may occasionally produce inaccurate, incomplete, or misleading analysis. AI outputs should be verified independently.
• Health scores are simplified metrics: Financial health scores are calculated using algorithms that reduce complex financial data to simple indicators. These scores do not capture all nuances of a company's financial position.
• AI cannot predict future performance: Past financial data and AI analysis cannot reliably predict future stock prices, company performance, or market conditions.
• Data may be delayed or outdated: Financial data is sourced from SEC filings which may be weeks or months old. Real-time financial conditions may differ significantly.
• AI may hallucinate information: Large language models can generate plausible-sounding but factually incorrect statements. Always verify critical information against primary sources.
• Sentiment analysis has limitations: AI interpretation of earnings calls, press releases, and filings may not accurately reflect management intent or market sentiment.

8.2 General Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INVSTIFY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Investment decisions made based on information provided by the Service

In no event shall our total liability exceed the amount you paid us, if any, in the past twelve months for the Service.

10. Indemnification

You agree to defend, indemnify, and hold harmless Invstify and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any investment decisions you make based on information from the Service

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so through your account settings or by contacting us.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
